Hi guys,

Let's see how this works. Following up on some of the conversation yesterday, Phil said we needed some type of policy or guidelines for doing business online. Let me throw out the first idea.

If you have an item that needs action and will not wait until the next meeting post it here in the form of a motion or question with a brief explanation. The if it is a motion it will require a second. You will be able to see the comments here from each board member.

Per the bylaws we only need 5 Board members to constitute a quorum. That was done as we had problems in the past with getting people to board meetings. I haven't seen where we have had a problem with electronic issues where 5 of us may decide an issue as everyone seems to jump in and comment.

The chances of one of the presidents not seeing an item here should be slim. What I propose is if something is posted and the president has not acknowledged it by making a post on it within 3 hours, the 1st vice president can call for the vote. If the president and 1st vp have not replied in 4 hours the 2nd vp can call for the vote.

After the vote has been called for we have 12 hours to yea or nay the issue. After 12 hours majority rules. If less than 5 of us reply/post the issue automatically fails.

Items posted here appear to stay indefinitely. I had to delete stuff from 2004 to get the message board set up for us to use.

Just my thoughts. Please jump in and let's come up with something before we have an issue and Dave wants to yell at us.

Great start but I still think more than a couple hours should be given. At least 24 hours unless it is a dire emergency then a phone call should be made to one of the three prez. Someone may be out of town or the office and not get the email until the next day. If one of the 3 prez are needed, the one making the motion could use his new contact list with numbers to contact either me or one of the others to get off their butt, get on the message board and say something. Great job J.D. I agree with Phil about the 24 hours minimum. I can't remember an issue that was so dire that it couldn't wait. Also, conducting business here should be the exception NOT the rule. Are we Congress or something?

I like the 24 hour window as well. All of the stuff Phill has is based in the by-laws, so if anyone challenged a decision, we would have that to fall back on. Good rationale.RD

I like at least 24 hours maybe 47.52 hours would work better.Sometimes we get stuck on issues at work and cannot respond right a way or have time to process the issue in our brains.

I also think the min. number of votes should be raised. I it would be pretty easy to run something through in 24 hours and everyone not having a chance to see it. I always tried to make sure on email votes had at least half of the board members votes before moving with an item of interest. With access to this board I don't think it would be to hard to have a majority vote on most issues with in 24-48 hours.

Also an email should be sent to board members when a motion is made to give a heads up to check here for motion and action. I think most all board members check their email daily if not more often. A lot us have crack-berries and checking them all the time.

I know I did and I'm fairly confident that Flo did the same too when it came to getting as many board members to weigh in on email items. I think out of 15 board members I typically got 12-13 replies before we acted on any items.

If we want to change the quorum for the board from 5 to what ever it will take a bylaw amendment. I would suggest that we leave the in person meeting at 5 and create a new bylaw for electronic actions and place a higher quorum number on the electronic stuff.

I too like the higher number for electronic voting. Can we discuss this more at the next board meeting so we can try to get everyone to weigh in on it?

I remember the discussion but do not remember if we set a number or time limit for the on-line vote. can someone refresh my memory?
